Short answer
Evernorth was owned solely by Ripple Labs in September 2026, Crowdfund Insider reported, and after the merger it would operate as a public vehicle whose strategy centers on accumulating XRP. Bitget News reported 473,276,430 XRP already held as of December 31, 2025. Armada II shareholders approved the merger on September 30, 2026; closing is expected on October 7.

What does the Nasdaq listing change for Evernorth?
Evernorth said on August 27, 2026 that the SEC had declared effective the Form S-4 registration statement for its merger with Armada Acquisition Corp II [1]. At closing, the company said, it will be a publicly traded digital asset treasury that gives investors exposure to XRP “through a regulated, liquid, and transparent structure” [1]. Crowdfund Insider reported in September 2026 that Ripple Labs was then Evernorth’s sole stockholder, and that ownership would broaden after the merger [5].
Evernorth describes its aim as growing XRP per share over time through yield strategies, ecosystem participation and capital markets activities [1]. It sets itself against earlier treasury companies that mainly bought and held their tokens, saying it is designed to actively manage its XRP [1]. How it intends to do that is covered in what Evernorth plans to do with its XRP.
When was the Armada shareholder vote, and how do redemptions change what Evernorth keeps?
Armada called a special meeting for September 30, 2026, open to shareholders of record on August 20, 2026 [1]. Evernorth called the vote one of the last key milestones before trading under the ticker XRPN. That listing still depended on completing the merger and meeting customary listing conditions [1].
Under the terms announced on October 20, 2025, every Armada II Class A share not redeemed for cash converts into one Evernorth Class A share [4]. Redeemed shares are paid out in cash instead. The companies’ August 27, 2026 filing lists the level of redemptions as a risk that may reduce the public float and the liquidity of the trading market [2].
What did the September 30 vote decide, and how many shareholders redeemed?
Armada II shareholders approved the business combination at the extraordinary general meeting on September 30, 2026, according to the companies’ October 1, 2026 announcement [9], with 20,514,034 votes for and 1,362,081 against, according to Armada’s Form 8-K [16]. The business combination is expected to close on October 7, 2026, subject to the remaining closing conditions [10]. As of October 2, 2026, no public source has established the number of shares redeemed. Evernorth said in August that, if approved, the merger was expected to close shortly after [2]. It gave the expected window as late Q3 or early Q4 2026, subject to shareholder approval and customary closing conditions [1].
The schedule has already slipped once. When the deal was announced on October 20, 2025, the companies expected to close in Q1 2026 [4]. That release also named failure to obtain shareholder approval or satisfy other closing conditions as a risk to completing the deal [4].
Is the listing new buying of XRP?
Most of the treasury was in place before the vote. Bitget News reported that Evernorth held 473,276,430 XRP as of December 31, 2025: 211 million from Arrington Capital, 126.8 million directly from Ripple, and 84 million bought on the open market at an average of $2.53 [7]. FXStreet reported 473.2 million XRP on August 28, 2026, worth about $653.4 million at the time on CoinGecko data [6]. KuCoin’s news feed gave roughly 473 million on September 23, 2026 [8]. Crowdfund Insider wrote that any additional purchases “would increase that treasury rather than replace it” [5].
New money tied to the listing does exist. On September 11, 2026, Evernorth signed an agreement with NH Investment & Securities, as trustee for Kyobo AIM Corporate Finance General Private Investment Trust No. 3, to issue $30 million of 4.00% convertible senior payment-in-kind notes due 2031, Crowdfund Insider reported [5]. The commitment appeared in a September 17, 2026 Form 8-K [5]. The notes are issued only if the Armada merger closes, and their purposes include buying XRP [5]. Crowdfund Insider called the $30 million modest next to the more than 473 million XRP reported at the end of 2025 [5].
How much cash reaches Evernorth after redemptions, and what is it earmarked for?
The October 20, 2025 announcement expected over $1 billion in gross proceeds, including $200 million from SBI [4]. It said net proceeds would primarily fund open-market purchases of XRP, with a portion for working capital, general corporate purposes and transaction expenses [4].
The private placement terms were later revised. A 2026 Form 425 said investors representing more than 95% of committed capital, including all of Evernorth’s advance funders, agreed to the new terms [3]. Those placements were priced at $10.00 per share, most funded in advance and others on a delayed basis [3]. The $30 million in notes works differently. If Armada shareholders reject the deal or other conditions fail, the notes are never issued and no new capital arrives, Crowdfund Insider reported [5].
How will the share price compare with the value of XRP held per share?
The revised terms reset the deal to reflect XRP’s move from $2.36 at signing to its value at closing [3]. Evernorth said this is expected to reduce the total share count, and that public investors would gain exposure at listing on terms better aligned to the underlying net asset value [3]. The convertible notes can convert after one year at an initial price of roughly $10.20 per Class A share, Crowdfund Insider reported [5].
The filings also flag a gap that can open between share price and XRP value. The August 27, 2026 filing lists the correlation between XRP’s price and the value of the combined company’s securities as a risk, along with the chance that XRP falls before or after closing [2]. As of October 2, 2026, no public source has given the closing share count needed to work out XRP per share.
Can investors in Canada buy XRPN, and what are the tax differences from holding XRP?
Evernorth expects the combined company to trade on Nasdaq under XRPN [1]. As of October 2, 2026, no public source has set out which Canadian brokers will offer the shares, or how Canadian tax treatment of XRPN compares with holding XRP directly. The company’s own filing treats the link between XRP’s price and its share value as a disclosed risk [2]. The difference between that structure and a fund is set out in how Evernorth differs from an XRP ETF.
What are the risks and criticisms of the listing?
Evernorth’s XRP has already lost value on paper. Bitget News reported that the S-4, filed on March 18, 2026, disclosed a $233.7 million impairment for 2025 [7]. The 84 million XRP it bought on the open market cost an average of $2.53, Bitget reported [7].
The companies’ own risk list includes falling XRP prices, redemptions that shrink the float, and the loose link between XRP’s price and the share price [2]. Crowdfund Insider wrote that raising cash through convertible notes is meant to let Evernorth avoid forced sales while still obtaining liquidity [5]. Whether a listed treasury could still be pushed into selling is the subject of could an XRP treasury company be forced to sell its XRP.

What we reason Analysis
- Closing the merger is a change in ownership and structure, and it does not add XRP by itself. Bitget News put holdings at 473,276,430 XRP at the end of 2025, FXStreet gave 473.2 million on August 28, 2026, and KuCoin’s news feed gave roughly 473 million on September 23, 2026, so the position was close to flat through 2026. Any further buying after closing depends on new money, such as the $30 million in notes Crowdfund Insider described.
- Of the holdings Bitget News itemised for December 31, 2025, about 84 million XRP came from open-market purchases, while 211 million came from Arrington Capital and 126.8 million from Ripple. Those three amounts add up to about 422 million, which leaves roughly 51 million XRP that the report did not itemise.
- If all $30 million of the notes went to XRP at the $1.51 price KuCoin displayed on September 23, 2026, it would buy about 20 million XRP, around 4% of the existing position. Crowdfund Insider reported that the notes’ purposes include buying XRP and other ecosystem activity, so the share spent on XRP may be lower.
- The revised terms in Evernorth’s 2026 Form 425 tie the share count to XRP’s value at closing, and the October 2025 terms let Armada II holders redeem for cash. Crowdfund Insider reported in September 2026 that the company already holds a large XRP position through itself and an affiliate, and that additional purchases would add to that treasury rather than replace it.
What's still open
- How many Armada II shares were redeemed for cash before closing?
- What will the closing share count be, so that XRP per share can be worked out?
- Evernorth’s June 30, 2026 blog post says Evernorth Holdings Inc. holds approximately 473 million XRP; as of October 2, 2026, no Evernorth filing or release has given an XRP holdings figure dated March 31, 2026.
- As of October 2, 2026, it is not public which Canadian brokers will offer XRPN or how Canadian tax treatment of the shares compares with holding XRP directly.
In plain English
Evernorth is a company that holds XRP, and it plans to get its shares onto the Nasdaq stock market by merging with a company already listed there. The XRP it holds was mostly in place by the end of 2025, about 473 million tokens, so the listing itself does not buy more. Listing would open up who can own the company, and some new money, such as $30 million in notes, only arrives if the merger closes. Armada II shareholders approved the merger on September 30, 2026, the companies announced on October 1, and it is expected to close on October 7, 2026.
