What does Evernorth say makes it different from an ETF?
Evernorth draws the line itself. Evernorth Holdings Inc. is described as “a newly formed Nevada corporation” in its announcement of October 20, 2025, filed with the SEC [1]. That release says: “Unlike a passive ETF, Evernorth seeks to grow XRP per share over time by participating in institutional lending, liquidity provisioning, and DeFi (decentralized finance) yield opportunities” [1]. A later Evernorth release says it intends to actively grow its XRP per share through “institutional and DeFi yield strategies, ecosystem participation, and capital” [2]. Evernorth’s SEC-filed release describes it as a “First-of-Its-Kind Treasury Vehicle” that is “designed to provide investors with simple, liquid, and” transparent exposure to XRP through a publicly listed vehicle [1].
Asheesh Birla, CEO of Evernorth, said in the release that the company is built to provide investors “more than just exposure to XRP’s price,” and that it would “capitalize on existing TradFi yield generation strategies and deploy into DeFi yield opportunities” [1].
SBI Holdings, named in that release as a $200 million investor [1], carries a slide in its results presentation for the year to March 31, 2026 that reads “Implement active measures to increase its asset value, not just merely holding XRP” beside “Lending for institutional investors” [3].
An ETF sets a narrower goal. The prospectus for the REX-Osprey XRP ETF, filed in September 2025, says the fund “seeks returns equal to 1x of the Reference Asset”, and that its performance will not replicate that asset because of fees and expenses [4]. The prospectus states the fund “will invest directly or through the REX-Osprey TM XRP Subsidiary” [4]. XRP funds and their structures are set out on which XRP ETFs exist and what they charge.
How is the money raised and used differently?
Evernorth raises money as a company. According to Evernorth’s SEC-filed release, the deal is expected to raise over $1 billion in gross proceeds, including $200 million from SBI and additional investments from Ripple [1]. Net proceeds “will primarily fund open-market purchases of XRP”, with a portion for working capital, general corporate purposes and transaction expenses [1]. At closing, each Armada II Class A share not redeemed for cash converts into an Evernorth Class A share one for one, and the combined company is expected to trade on Nasdaq as XRPN, subject to listing requirements [1]. Evernorth also plans to borrow. Crowdfund Insider reported on September 22, 2026 that Evernorth signed an agreement on 11 September for $30 million of 4.00% convertible senior payment-in-kind notes due 2031, to be issued only if the merger with Armada Acquisition Corp. II closes [5]. Interest would be added to principal rather than paid in cash [5]. The stated uses include buying XRP [5].
SBI’s presentation defines a crypto asset treasury as a strategy in which a company raises funds through equity or debt issuance and uses them to acquire crypto assets [3]. Evernorth fits that definition and adds a stated plan to deploy what it buys. Money is reaching both kinds of vehicle: Evernorth’s own quarterly report puts US spot XRP ETF inflows at $273 million for April to June 2026, with net inflows in all three months [6].
How much XRP does Evernorth hold, and where did it come from?
Evernorth reported on November 4, 2025 that its XRP purchased and committed exceeded 473,276,430 XRP [2]. CoinDesk reported on March 19, 2026 that Evernorth’s S-4 filing shows Evernorth and Pathfinder Digital Assets held about 473.1 million XRP at December 31, 2025 [7]. According to CoinDesk’s reading of the filing, Ripple contributed 126.8 million XRP to Pathfinder, the sponsor contributed 211.3 million XRP through a Series C subscription, and Evernorth used $214.1 million in cash to acquire 84.4 million XRP [7]. Is any of the active strategy running yet?
The strategy is described in filings. No deployment had been reported as of September 30, 2026. CoinDesk reported on March 19, 2026 that the S-4 plans RLUSD/XRP liquidity pools, XRP lending, automated market-maker liquidity, covered calls and cash-secured puts [7]. On January 8, 2026, Evernorth and Doppler Finance said they had “entered into a strategic relationship to explore potential collaboration in support of the XRP Ledger” [8]. Evernorth’s report for the second quarter of 2026 says the XRPL Single Asset Vault (XLS-65) and Lending Protocol (XLS-66) amendments were in validator voting at quarter end and had not activated [6]. The sources reviewed, dated up to September 22, 2026, did not give an amount of Evernorth XRP placed in lending, pools or options; this is left to the open list. What do management costs and fees look like for an Evernorth shareholder versus an ETF holder?
The costs sit in different places. The REX-Osprey prospectus says the fund “seeks returns equal to 1x of the Reference Asset” and “will invest directly or through the REX-Osprey TM XRP Subsidiary” [4]. The saved prospectus text quotes no fee or expense clause, so no fee wording is quoted here. Evernorth’s costs are a company’s costs: its October 2025 release allocates part of net proceeds to working capital, general corporate purposes and transaction expenses, and lists among its risks “the costs related to the Proposed Transactions and those arising as a result of becoming a public company” [1]. The planned convertible notes add interest that accrues onto principal [5]. No fee rate charged to Evernorth shareholders has been published as of September 30, 2026, and I found no quoted expense ratio for an XRP ETF, so no numeric comparison can be made here.
How did bitcoin treasury companies perform against bitcoin ETFs over the same periods?
I could not find any performance series comparing bitcoin treasury companies with bitcoin ETFs, as of September 30, 2026. SBI’s presentation defines a crypto asset treasury as a corporate financial strategy of raising funds through equity or debt issuance to acquire crypto assets [3]. The sources gathered for this page contain no performance returns. This page draws no conclusion from that comparison until the evidence is in hand.
What is the strongest case against the treasury-company model?
A company carries risks a fund does not. CoinDesk reported on March 19, 2026 that Evernorth recorded a $233.7 million digital asset impairment for 2025, and that XRP then traded at $1.45, against about $2.54 per token paid for the 84.4 million XRP bought with cash [7]. Evernorth’s own October 2025 release lists risk factors including “the volatility of the price of XRP and other digital assets, the correlation between XRP’s” price and the value of its securities, and redemptions by Armada II shareholders that may reduce the public float [1]. The planned notes depended on an Armada shareholder vote and later closing conditions [5]; shareholders approved the merger on September 30, 2026, and closing was still pending. What we reason Analysis
- An ETF holder owns a share of a fund that aims to follow XRP’s return, less costs. An Evernorth holder will own shares of a company whose XRP per share can rise through yield or fall through costs and dilution, and whose share price its own filing says may diverge from XRP’s. This follows from the October 2025 release and risk factors [1] and the REX-Osprey prospectus [4].
- Evernorth’s financing follows the sequence SBI describes for crypto treasury companies: raise equity or debt, buy the asset, then, in Evernorth’s stated plan, deploy it for yield. The deployment step has no disclosed amounts in the project’s sources. This follows from [1], [3], [5] and [7].
